omit annual meetings

I also assist some  Rural Water Districts.  I have one that is formed  under the Charitable Corporation statutes, and not under the Rural Water District statute.
My Board, due to COVID-19, does not want to have the annual meeting of Shareholders, and election of Board and officers.(The meeting should be held by the end of September.)  We have one board member who would be up for reelection, and he agrees to remain in place until his successor is elected, as do all the officers.
Advice?
(I realize this is not municipal law, but in my mind, all of my  "entities" that I assist, share many similarities.)
