Just received a monkeysurvey titled LR Board Survey. There is so little description that we first questioned whether the e-mail was legitimate. The request that is in the survey is not correct because the board is requesting authority to correct a mistake in the bylaws. For the board to change the bylaws through this approach, you first need to document that the original bylaws have a mistake in Article 2.1, and that is not the case.
The correct procedure is to request a member vote on a change to the bylaws to limit the number of board members to three members. If you use the results of the surveymonkey as it is now, you will not be complying with the bylaws and the limited authority it gives you.
As a courtesy to your members, it would be very good if you could provide some background and explanation as to why this issue has come up and why you are sending out the survey. Since only 6 members attended the last board meeting, there are over 120 members who are not up to speed on this. Additionally, you need to be sure to fully document the surveymonkey results so the board can show at a future date that they acted properly.

I guess I don't understand. Why cannot the members vote for how many members are on the broad? Why is there a survey? Don't members need to be notified of any changes to any by laws? Maybe I don't understand this email. I just thought only members can change any by laws with a vote. Was there a change to the by laws without a members vote?
